If you read one thing
You send us jobs and data you have the right to use. We run them on the Constellation network or on our own hardware, check the results and take what they cost from your prepaid credit, in Canadian dollars. Your data is private by default and runs only on our hardware unless you mark it shareable. Model outputs can be wrong, so you check them before you rely on them. The law of British Columbia, Canada applies.
Who you are dealing with
Atheron Network Inc.
01Who this agreement is with
Atheron Nebula is a service of Atheron Network Inc.. These terms are an agreement between Atheron Network Inc. ("we") and the organisation that creates a Nebula team in the developer portal ("you"). The person who accepts them confirms they may bind that organisation.
The acceptable use policy and the privacy notice are part of these terms. If they conflict, these terms win, except that the acceptable use policy always decides what may be run.
02Your team and who you are
You sign in with an Atheron account. Keep your sign-in and your API keys safe: anything done with them is treated as done by you. Tell us at once at the contact page if you think a key has leaked, and revoke it in the developer portal.
Before your first job we check your business through our verification provider, and you add a card. We may ask again if what we know changes, and we may refuse or stop service to anyone we cannot verify.
03Your data and the shareable choice
Your inputs, training examples and results stay yours. We use them only to run your jobs, to keep the service safe and to meet the law, as the privacy notice says. We never use them to train anything for anyone else.
Every job is private by default. A private job runs only on Atheron house nodes or on cloud GPUs we rent, and never on a member's device.
You may mark a job shareable to run it on the Constellation network, where members' computers run its shards. Only mark data shareable if it is public or holds nothing personal, confidential or regulated. Marking data shareable is your decision and your responsibility.
Inputs and results are kept for the retention window you choose, 30 days unless you set another, and then deleted.
04Models and results
Jobs run on the open models in our catalogue. Each model has its own licence, shown in the docs, and you agree to follow the licence of every model you use. A fine-tuned adapter we train for you is yours to keep, under the base model's licence.
Machine learning output can be wrong, incomplete or biased. We check that machines agree and that the right model ran; we do not promise that an answer is correct for your purpose. Review results before you rely on them, and never use them alone for decisions with legal or similarly significant effects on people.
05Prices and billing
Prices are on the pricing page. Nebula is prepaid: you buy credit with a monthly plan or a top-up, charged to the card on file, and jobs spend it. A plan renews each month until you cancel it, and cancelling ends it at the close of the period. Unused plan credit stays for one month after its period, then lapses; top-up credit does not lapse. Credit is not refunded, except where the law requires. Prices and billing are in Canadian dollars wherever you are; if your card is in another currency, your card's bank converts. Taxes are added where they apply.
You pay for verified results. Work we run again to check it is not billed to you. Before a job runs, its estimate plus a quarter is set aside from your credit, and a job never costs more than that. If you turn on overage, a job may go up to a tenth past your credit, and you pay that part at your next renewal or by card. Each team has a monthly spend limit, which we may raise when you ask.
We may change prices with at least 30 days' notice by email. Jobs submitted before the change are billed at the old price.
06Customer containers
Running your own container is not open yet. When it opens, it is offered only to verified businesses, every image is scanned before it may run, and it runs in a sandbox with no network and no access to anyone's files. We may refuse any image without giving a reason.
07The people who run your jobs
Members who run shards on the Constellation network work with us, not with you. You may not contact them, try to find out who they are, or try to reach their devices outside a job.
08Availability and changes
We work to keep Atheron Nebula available and tell you about planned work in advance on our status page. We do not promise uninterrupted service or a time by which a job finishes.
We may improve or change features. If we remove a feature you use, we tell you at least 30 days before, unless the law or a security issue requires it sooner.
09Suspension and ending
You may close your team at any time in the developer portal; jobs up to that day are paid from your credit. We may end this agreement with 30 days' notice, or stop a job or a team at once if you seriously or repeatedly break these terms or the acceptable use policy, or if the law requires it.
When a team closes, running jobs stop and you have 30 days to download your results. After that we delete them, except what the law requires us to keep.
10Liability
As far as the law allows: we are not liable for lost revenue, lost data you could have downloaded, decisions made on model output, or indirect losses; and our total liability in any 12 months is limited to what you paid us in those 12 months, or C$140 if more. Nothing in these terms limits liability that the law does not allow to be limited.
You are responsible to us, and will cover our reasonable costs, for claims from others that arise from the data you send, the way you use results, or your breach of these terms or of the law.
11Changes to these terms
We publish a new version of these terms with its date at the top, and earlier versions stay readable on this page. For a change that affects you materially we email you at least 30 days before it applies. Using Atheron Nebula after that date means you accept the new version.
12Law and disputes
These terms are governed by the law of British Columbia, Canada and the federal laws of Canada that apply there, and disputes are heard by the courts of British Columbia, Canada, unless the law where you are gives you the right to go to your own courts.
